Welcome to FastMatch ("we", "our", or "us"). These Terms of Service ("Terms") govern your use of our platform and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. Service Description

FastMatch provides AI-assisted tools that allow users to upload job descriptions and candidate materials in order to generate comparisons, scoring, and rankings to support hiring decisions. The Service is intended solely for informational and internal business decision-support purposes.

The Service does not make hiring decisions and does not act as an employment agency, recruiter, or background verification provider.

2. Account Registration and Access

You may access the Service through supported authentication providers such as Google or enterprise Single Sign-On (SSO).

You agree that you are responsible for:

Maintaining the confidentiality of your login credentials
All activity occurring under your account
Ensuring only authorized users access your account
Promptly notifying us of any unauthorized access

You may not share accounts between unrelated users or organizations.

3. Customer Responsibilities

You represent and warrant that:

You have the legal right to upload any data submitted to the Service
You have obtained any required candidate or employee consent
Your use complies with applicable employment and privacy laws
You will not use the Service for unlawful discrimination
You remain solely responsible for hiring decisions

You acknowledge that you—not FastMatch—act as the data controller for any personal data you upload.

4. Acceptable Use

You agree not to:

Upload content that violates any law or regulation
Upload content that infringes intellectual property or privacy rights
Upload malicious code or harmful content
Attempt to reverse engineer the Service
Attempt unauthorized access to systems or data
Use the Service to build competing products or datasets
Use automated scraping or extraction tools without permission
Interfere with platform security or performance

We reserve the right to suspend accounts engaged in prohibited activities.

5. Uploaded Content

You retain ownership of all job descriptions, resumes, and other content you upload ("Customer Data").

By uploading Customer Data, you grant us a limited, non-exclusive, revocable license to process that data solely to:

Provide the Service
Generate AI analysis and scoring
Maintain platform functionality
Provide technical support

We do not use Customer Data for advertising, resale, or training our own AI models.

6. AI Services and Outputs

The Service uses artificial intelligence technologies from third-party providers to generate analysis and recommendations.

You acknowledge and agree that:

AI outputs are probabilistic and may contain errors
Results may be incomplete or inaccurate
AI results should not be the sole basis for hiring decisions
Human review is required before making employment decisions

FastMatch is not responsible for decisions made based on AI output.

7. Data Retention and Deletion

Customer Data is retained while your account remains active or until you delete it.

Following deletion or account termination:

Data will be removed from active systems
Data may remain temporarily in secure backups
Data will generally be deleted within 30 days unless legally required otherwise

You may request deletion by contacting admin@fastmatch.ai.

8. Intellectual Property

The Service, including software, algorithms, design, text, and functionality, is owned by FastMatch or its licensors and is protected by intellectual property laws.

You may not:

Copy or redistribute the platform
Reverse engineer the software
Create derivative works
Resell or sublicense the Service
Remove proprietary notices

Except for rights expressly granted, no rights are transferred to you.

9. Confidentiality

We will treat Customer Data as confidential and will not disclose it except as necessary to provide the Service or comply with legal obligations.

You agree not to disclose non-public information about the Service, including technical details, pricing, or security measures.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OF RESULTS
UNINTERRUPTED SERVICE

We do not guarantee:

Hiring outcomes
Candidate suitability
Accuracy of AI analysis
Regulatory compliance of your hiring processes

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FastMatch SHALL NOT BE LIABLE FOR ANY:

Indirect damages
Incidental damages
Consequential damages
Loss of profits
Loss of data
Business interruption

Our total liability for any claim related to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless FastMatch, its officers, employees, and affiliates from claims arising from:

Your use of the Service
Your uploaded data
Your violation of these Terms
Your violation of applicable laws

13. Termination

We may suspend or terminate your access if:

You violate these Terms
Security risks are detected
Required by law
Continued access could harm the Service

You may stop using the Service at any time.

Upon termination:

Your access will end
Your data will be deleted according to retention policies
Applicable legal provisions will survive termination

14. Changes to These Terms

We may update these Terms from time to time.

When we do:

The Last Updated date will change
Material changes may be communicated through the Service
Continued use constitutes acceptance of updates

15. Governing Law

These Terms shall be governed by the laws of the applicable jurisdiction where FastMatch operates, without regard to conflict of law principles.

16. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Failure to enforce any right does not constitute waiver.

These Terms represent the entire agreement between you and FastMatch regarding use of the Service.
